Last updated: 3 September 2026

1. Acceptance and business details

By using this website, accepting a proposal, signing a statement of work, or paying an invoice, you agree to these terms and any service-specific terms stated in your proposal or agreement.

AutoZenix AI is operated by Autozenix Infosystem (OPC) Private Limited, CIN U62090DL2025OPC451280, registered in New Delhi, India.

2. Services

We design, build, configure, and support AI voice agents, WhatsApp automation, Meta advertising and lead generation systems, CRM builds, integrations, and related automation services. The exact scope, deliverables, assumptions, dependencies, and timeline for a project are set out in the applicable proposal, statement of work, or invoice.

You are responsible for providing accurate information, timely approvals, appropriate account access, and lawful instructions. Timelines may change when required information or access is delayed.

3. Payments and invoicing

Fees, currencies, milestones, deposits, subscription charges, and payment schedules are specified in the applicable proposal or invoice. Unless an invoice states otherwise, payment is due within 7 calendar days of the invoice date. Applicable taxes are charged as required by law.

We may pause work or access to managed services when an invoice is overdue. You are responsible for approved third-party costs such as advertising spend, telephony, messaging, model usage, software licences, and API usage. Late or failed payments may delay delivery.

4. Cancellation and project termination

Either party may terminate a project by written notice if the other party materially breaches the agreement and does not cure the breach within a reasonable period stated in the notice. You may also request cancellation for convenience, subject to the applicable proposal and our Refund Policy.

On termination, you must pay for work completed, time committed, approved expenses, and non-cancellable third-party costs through the termination date. We will provide completed deliverables that have been paid for, subject to any continuing licence terms.

5. Intellectual property

You retain ownership of materials and data you provide. After full payment, you own the final custom deliverables identified as client-owned in the applicable proposal. We retain ownership of our pre-existing materials, methods, templates, know-how, internal tools, reusable code, and general automation components.

Where our retained materials are included in a paid deliverable, we grant you a non-exclusive licence to use them as part of that deliverable for your internal business purposes. Third-party software, models, platforms, and content remain subject to their respective licence terms.

6. Client responsibilities and acceptable use

You must use the services lawfully and obtain any notices, consents, licences, and permissions required for advertising, calls, messages, recordings, personal data, and uploaded content. You must not use our services for fraud, unlawful surveillance, harassment, deceptive impersonation, prohibited content, or unsolicited communications that violate applicable law or platform rules.

7. Service availability and third parties

Automation services may rely on external platforms, APIs, networks, and models. We do not control their availability, pricing, policy changes, or output. Unless expressly stated in writing, services are provided on a commercially reasonable basis and we do not guarantee uninterrupted operation, specific revenue, lead volumes, advertising approval, or a particular business outcome.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential losses, including lost profits, lost revenue, loss of goodwill, or loss of data. Our total aggregate liability arising from a claim is limited to the fees you paid to us for the affected service during the 3 months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded or limited.

9. Governing law and jurisdiction

These terms are governed by the laws of India. Courts located in New Delhi, India have exclusive jurisdiction over disputes arising from these terms or our services, subject to any mandatory dispute-resolution process agreed in writing.
